Binding Agreement
These Terms of Service (“Terms”) govern your use of Instil’s website and educational, training, or advisory services (“Services”).
By accessing or using the Services, whether in an individual or business capacity, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. Your use of our services is an acceptance of these Terms.
If you reject our Terms, you may not use Instil’s services. Please keep a record of these Terms and review our website frequently for any updates to our Terms.
These services are provided by Instil (“Instil,” “we,” “us,” “our”). “You” and “Your” refer to you as a user of the Services.
Payment
Individual
All fees for the Services must be paid in full before the commencement of the Services. Payment is a condition precedent to participation, and failure to complete payment may result in denial of access to the Services.
Payments are processed and completed through our third-party ticketing and payment provider, Humantix. Refunds for cancellations are available no later than 24 hours before the scheduled start time of the relevant service.
We reserve the right to update our prices and payment terms at any time. Price changes will not be applied retroactively but will take effect for future use of our services.
Enterprise
Payment is bound by the specific contract entered into by your organisation and us.
Limitation of Liability
To the maximum extent permitted by applicable law, we will not be liable for any direct, indirect, consequential, special, incidental, or exemplary damages, including but not limited to any loss of profits, loss of business opportunity, loss of goodwill or reputational damage out of or in connection with our Services or these Terms.
We shall not be liable for such damages, whether we have been advised or should have been aware of the possibility of such loss occurring.
Governing Law and Jurisdiction
Instil is a private company established and operating in New South Wales, Australia. As such, these Terms are governed by and construed in accordance with the laws of New South Wales. By accepting our services, you agree that any legal action related to these Terms of Service will be filed only in the jurisdiction of the New South Wales courts.
Severability
If any provisions found in these terms are unlawful, invalid or unenforceable, then the provision will be removed and/or amended and will not affect the enforceability of any other provisions.
Force Majeure
Instil will not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by events or circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic or pandemic, government orders or restrictions, strikes or industrial disputes, power or internet outages, failure of third-party service providers, or the unavailability or illness of personnel.
Where a force majeure event occurs, Instil may, at its discretion, reschedule the affected Services or cancel the Services without liability. If Services are cancelled due to a force majeure event, any refunds will be provided only where required by applicable law.
Instil will use reasonable endeavours to mitigate the effects of any force majeure event.
